Starting a company while employed in the UAE: contract, non-compete, permits

What Federal Decree-Law No. 33 of 2021 says about working for others and non-compete clauses, why the employment contract matters more than the zone, and the tax clock that starts at incorporation.

Updated

Many UAE companies start as a plan made by someone on an employer's visa. That is a sound way to begin, because it means the licence, the bank account and the first clients can be prepared while a salary still arrives. What decides how far the preparation can go is the employment contract and the labour law, not the free zone.

What the labour law says

Federal Decree-Law No. 33 of 2021 on the regulation of employment relationships, the text MOHRE publishes with its amendments, contains three provisions that matter here.

  • Working for others. Among the worker's obligations is not working for others in violation of the Decree-Law and other applicable legislation (Article 16(9)).
  • Confidentiality. The worker must keep confidential the information and data obtained through the work, and return the employer's items at the end of service (Article 16(4)).
  • Non-compete. Where the work gives access to the employer's clients or business secrets, the employer may require that the worker not compete, or join a competing project in the same sector, after the contract ends. The restriction must be specified in time, place and type of work, to the extent needed to protect legitimate business interests, and cannot exceed two years from the end of the contract (Article 10(1)).

Two details of Article 10 are worth knowing. The clause falls away if the employer ends the contract in breach of the Decree-Law (Article 10(2)). And an employer's claim for breach cannot be heard once a year has passed from discovering it (Article 10(3)).

Owning is not the same as working

The Decree-Law's provisions above concern work and competition. Holding shares in a company is a different act from working for it, and the articles cited do not address ownership as such. That leaves two documents to decide the question.

  • The employment contract. Exclusivity, conflict-of-interest and outside-activity clauses are common, and they can go further than the law. Read them before incorporating, not after.
  • The free zone's own rules. Zones set their own document requirements for a shareholder employed elsewhere, and some ask for a letter from the current employer. Ask the zone for its current checklist in writing.

Working for the new company before leaving

Preparing a company and working in it are two different things. The lawful route to working for more than one employer is the MOHRE part-time work permit: according to the u.ae work permits page, a worker may work for more than one employer after obtaining approval from the Ministry. Without that, the safe course is to prepare while employed (licence, bank account, website, contracts ready to sign) and to start delivering work through the company once the employment ends.

The clocks that start at incorporation

Incorporation is not a neutral step. A company incorporated in the UAE, free zone companies included, must apply for corporate tax registration within three months of incorporation, even before it trades (Federal Tax Authority Decision No. 3 of 2024, effective 1 March 2024). The penalty for late registration is AED 10,000 (Cabinet Decision No. 10 of 2024, Ministry of Finance).

The non-compete, planned rather than feared

A non-compete clause rarely prevents a company. It shapes it. The useful questions are concrete:

  • Does the clause name a sector, a territory and a duration, as Article 10 requires?
  • Does the planned activity actually compete with the employer, or serve a different market?
  • Would the planned first clients be the employer's clients?

If the honest answers point to a conflict, the options are a different first market, a later start date, or a written release from the employer. All three are better than a dispute.

Next step

When the contract allows it, the licence can be ready before notice is given; the guide on moving from an employment visa to an own-company visa sets out the order. The express application covers non-regulated activities, and WhatsApp or the quote form handles the rest.
