Economic substance: what the UAE dropped and what still applies

The UAE's ESR regime ended for years after 2022. What substance still means: the 0% condition and your home country's tests.

Updated

Many sellers still talk about UAE economic substance as a live obligation with penalty notices. It is not, and the part that did survive is aimed at a different person than the one they describe.

What the UAE dropped

The UAE introduced its Economic Substance Regulations to satisfy international commitments on harmful tax practices. Cabinet Decision No. 98 of 2024 (2 September 2024, Official Gazette of 16 September 2024) amended Cabinet Resolution No. 57 of 2020 so that those regulations cease to apply to financial years ending after 31 December 2022.

So there is no annual economic substance notification or report to file for those years, and no penalty regime attached to one. If a provider quotes you a yearly fee for it, ask which legal obligation it covers.

What substance still means

Three places, and none of them is a certificate of incorporation.

First, the 0% free zone rate. Qualifying Free Zone Person status under the corporate tax law is conditional on adequate substance in the UAE. A company without it risks a 9% assessment on income it expected to be exempt.

Second, your home country. Place of effective management looks at where the key decisions are in fact made, and a director living in Europe who runs everything from there points back to Europe. Controlled foreign company rules start from who owns the company and how lightly it is taxed. Some countries then exempt a company with genuine activity and others, Belgium among them, do not; your country page says which applies to you.

Third, the facts themselves. Board meetings held in the UAE with directors present, real people and real premises, spend that matches the income: that is what any of these tests will ask to see.

Where the real risk sits

The structure sold to most small founders, a flexi-desk, no staff, a director living in Europe, has no substance in any meaningful sense. The UAE no longer asks about that. Your own tax authority can, and it is the one with the power to tax the company's income at home.

The gap between "my licence is valid" and "my structure survives scrutiny" is where most of the risk in this industry sits, and it is almost never discussed at the point of sale.

What to do

Read the guide on who a UAE company is for, and check your home country's rules before you form anything. They decide whether the structure works, not the UAE.

If you want the 0% rate, confirm with your adviser that your activity and your set-up meet the Qualifying Free Zone Person conditions, including substance.

If your structure depends on substance you do not have, fix it before a tax authority asks the question. Retrofitting substance after an enquiry opens is considerably harder than building it at the start.

A structure with real people, real premises and real decisions in the UAE holds up well. Tell us how you plan to run the company and we will say what the UAE side can support; the calculator prices the set-up.

We handle the UAE side. Your own country's tax position stays with your adviser.
